Terms & Privacy – Version 1.1

The following terms and conditions govern all use of the madschri website. The website is owned and operated by Madschri Power of the Pen, Ltd. (“madschri”). The website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, the privacy policy) and procedures that may be published from time to time on this site by madschri (collectively, the “agreement”).

Please read this agreement carefully before accessing or using the website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then do not access the Website or use any of its services. If these terms and conditions are considered an offer by madschri, acceptance is expressly limited to these terms. Some services offered on this website in cooperation with third party websites may require that you also agree to the third party’s’ T&C.

Service
madschri provides an electronic referrer service. By using and accessing madschri you are authorizing madschri to securely send instructions to and receive and display information from third party service providers. You accept that the service provided by madschri allows data about or contained in your transaction to be shared with relevant parties and with service providers to madschri. You accept that madschri retains a copy of the relevant transaction data in order to be able to display the service information.

madschri is acting as a referrer only. madschri is not obliged to refund or to seek to recoup sums which have been sent via madschri or third parties. madschri does not share any responsibility for the transport and delivery of goods or services or the quality or condition hereof.

Your Account
You are responsible for maintaining the security of your account access details. The registered legal entity on the madschri account is legally responsible for all activities that occur under the account and any other actions taken in connection with the account as will any identified individual acting on this legal entity’s behalf.
Fees and charges are available to registered account holders after login. Fees are subject to change.

Regulations
a. In no event will madschri, or its suppliers or licensors, be liable for any indirect or consequential damages including but not limited to loss of profit, loss of monies, loss of business, loss of reputation or loss of goods. madschri shall have no liability for any failure or delay due to matters beyond their reasonable control. madschri shall have no liability for fraud or money laundering activities carried out. The foregoing shall not apply to the extent prohibited by applicable law.

b. You represent and warrant that (i) your use of the Website will be in strict accordance with the privacy policy, with this agreement and with all applicable laws and regulations and (ii) your use of the website will not infringe or misappropriate the intellectual and legal rights of any third party.

c. You agree to indemnify and hold harmless madschri, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the website, including but not limited to your violation of this Agreement.

d. madschri is not liable for assessment or payment of any taxes, duties or other charges or funds and monies that arise from the underlying commercial transaction to your use of madschri referrer service.

e. If any part of this agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may not assign your rights under this agreement to any third party under any circumstance; madschri may assign its rights under this Agreement without condition. This agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

f. Except to the extent applicable law, if any, provides otherwise, this agreement, any access to or use of the website will be governed by the laws of the United Kingdom, where any case must also be brought forward.

g. By using madschri you agree to sharing data with madschri which are payment processor instructions. You agree to comply with the procedures required by madschri and by third parties for verificitation of your details and your company details. You accept that madschri is entitled in its sole discretion to decide whether you can gain access to and use madschri.

Privacy Policy
madschri respects your privacy and is committed to protecting the privacy and confidential information of those who register or otherwise affiliate with madschri. We collect only the information that you voluntarily provide to us when you register. We store any information that you enter on any page of the madschri website. Your participation is completely voluntary and you therefore have a choice whether or not to disclose this information. Certain information you provide may be made available to view by other account holders.

Your personally identifiable information will not be used for any other reason than the service described here. madschri will not sell, distribute, publish or otherwise disclose your personally identifying information without your express permission. Your information will not be shared with any third party except (i) as authorized by you in accordance with this agreement to deliver services you request, and (ii) if required to do so by judicial or governmental authorities.

We require registered users to update and maintain the personal and account details we hold. If you wish to correct any information you may do so after logging in. madschri does not hold any bank or bank account details of account holders, and it does not hold or have access to individual account holders’ access details to any third party service.

Security
All information that we hold on companies and individuals, third party account details and transactions is protected in a secure database and by passwords. madschri will take reasonable measure to ensure that our data systems and network connections are secure, while no system is fail-safe. We maintain our data with a reasonable high level of internet security to prevent any unauthorized access. While we strive to protect this information, we cannot ensure or warrant the security of any information you transmit to us, and you do so at your own risk.

madschri assumes no responsibility and shall not be liable for any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing the service. Any communication or material you transmit to the website by e-mail or otherwise, including any data, questions, comments, suggestions, or the like is, and will be treated as, non-confidential and non-proprietary.

Changes
madschri reserves the right, at its sole discretion, to modify or replace any part of this agreement. Your continued use of or access to the website following the posting of any changes to this agreement constitutes acceptance of those changes. madschri may also, in the future, offer new services and/or features through the website (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this agreement.

Termination
This agreement may be terminated by either party by a written notice at any time, with or without cause.
